Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Cyna ("Cyna", "we", "us", or "our") and govern your access to and use of the Cyna platform, websites, and related services at cyna.so (together, the "Service"). By creating an account, clicking to accept, or otherwise using the Service, you agree to these Terms. If you are using Cyna on behalf of a business, you confirm that you are authorised to bind that business, and "you" refers to that business.
Please also read our Privacy Policy and Security page, which are incorporated into these Terms. If you do not agree to these Terms, do not use the Service.
1. Definitions
- Customer (or "you") — the firm, agency, or individual that holds a Cyna account and uses the Service to run its business.
- Client — your customer: the person or organisation that receives, reviews, signs, or pays for a proposal you create in Cyna.
- Customer Content — everything you put into or generate through Cyna, including proposals, templates, briefs, brand and voice inputs, and the Client information you add.
- Users — the individuals you authorise to access your account, including teammates and any delivery or client seats.
- AI Features — the parts of the Service that use machine-learning models to draft, summarise, or suggest content.
2. The Service
Cyna is an AI propose-to-deliver platform for professional services. It helps you draft client-ready proposals in your firm's own voice, collect electronic signatures, take deposits and milestone or recurring payments through our payment processor, and keep your engagements organised in one place.
We are continually improving the Service. Some capabilities — including parts of the delivery layer — are still rolling out and may be added, changed, or removed as they mature. We may also offer features in beta or "early access", which are provided as-is and may be less stable than generally available features.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your login credentials confidential, and for all activity that happens under your account.
You may invite Users to your account. You are responsible for your Users' actions, for ensuring they comply with these Terms, and for the permissions you grant them. Tell us promptly at security@cyna.so if you suspect any unauthorised access to your account.
4. Plans, trials, and seats
Cyna is offered on tiered plans (currently Starter, Pro, and Enterprise) charged per seat. New accounts start with a 5-day free trial; unless you cancel before it ends, your plan begins and the first charge is collected automatically. Some plans include free, unlimited delivery or client seats — those allowances are described at the time you subscribe and may change for future billing periods.
We may update our plans and pricing. If we change the price of a plan you are on, we will give you reasonable notice, and the change will take effect at your next renewal.
5. Billing and payment for the Service
Subscription fees are billed in advance through our third-party payment processor, Stripe, on the cycle shown at checkout (monthly or annual). By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel. Fees are exclusive of taxes, which you are responsible for unless stated otherwise.
Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused seats, or features you do not use. You can cancel at any time from your account settings; cancellation takes effect at the end of your current billing period, and you keep access until then.
6. Payments you collect from your Clients
Cyna lets you request and collect payments from your Clients — including deposits, milestone invoices, recurring retainers, and change orders — through Stripe. To use these features you must connect a Stripe account and agree to the Stripe Connected Account Agreement.
As between you and your Client, you are responsible for the goods and services you sell, your prices and taxes, your refund and cancellation policy, and the resolution of any disputes, chargebacks, or refunds. Cyna is a software tool that facilitates these transactions; we are not a party to the contract between you and your Client, we are not a bank or money transmitter, and we do not hold your funds. Payout timing, fees, and reserves are governed by Stripe. Change orders require explicit Client approval before any additional amount is charged.
7. Electronic signatures and records
The Service supports electronic signature and acceptance of proposals. By using these features, you and your Clients consent to transact electronically and agree that electronic signatures, acceptances, and records have the same legal effect as handwritten signatures and paper records to the fullest extent permitted by applicable law (such as the U.S. ESIGN Act and UETA, and comparable laws in other jurisdictions).
When a proposal is accepted, Cyna records an acceptance snapshot — including details such as the accepted document, signatory information, timestamp, and related metadata — to help evidence the agreement. You are responsible for the content and legality of the proposals and contracts you send, for confirming the identity and authority of your signatories, and for determining whether electronic execution is appropriate for your use case. Cyna does not provide legal advice.
8. Customer Content and licence
You own your Customer Content, and nothing in these Terms transfers that ownership to us. You grant Cyna a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, and display your Customer Content solely as needed to provide, secure, and improve the Service for you, and as otherwise described in our Privacy Policy.
You are responsible for your Customer Content and represent that you have the rights and permissions necessary to provide it and to let Cyna process it, including any Client personal information you upload. If you provide feedback or suggestions about the Service, we may use them without obligation to you.
9. AI features
Cyna's AI Features generate drafts and suggestions based on your inputs, your past proposals, and the voice and brand details you provide. AI output can be inaccurate, incomplete, or unsuitable for your situation, and similar suggestions may be generated for other customers. You are responsible for reviewing, editing, and approving any AI-generated content before you rely on it or send it to a Client, and for ensuring it is accurate and appropriate. AI output is not legal, financial, tax, or professional advice.
We do not use your private Customer Content or your Clients' content to train models for the benefit of other customers. Where we use third-party AI providers to power these features, we share only what is needed to generate your output.
10. Acceptable use
You agree not to, and not to allow your Users or anyone else to:
- use the Service for anything unlawful, fraudulent, deceptive, or that infringes others' rights;
- send proposals or collect payments for illegal goods or services, or in violation of Stripe's rules;
- upload malware or content that is harmful, harassing, or that you have no right to share;
- probe, scan, overload, disrupt, or attempt to gain unauthorised access to the Service or its systems;
- reverse engineer, decompile, scrape, or copy the Service except as allowed by law;
- resell, sublicense, or provide the Service to third parties without our written permission; or
- use the Service to build a competing product, or misrepresent your identity or affiliation.
11. Third-party services
The Service relies on and can connect to third-party services, such as Stripe for payments and other integrations you choose to enable. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. Disabling or losing access to a third-party service may affect related Cyna features.
12. Confidentiality
Each party may receive information that is confidential to the other. We will treat your non-public Customer Content as confidential and will not disclose it except to provide the Service, with your direction, or as required by law. Likewise, you agree to keep non-public information about the Service (including beta features and pricing not publicly listed) confidential.
13. Intellectual property
The Service, including its software, design, and trademarks, is owned by Cyna and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We reserve all rights not expressly granted.
14. Term, suspension, and termination
These Terms apply while you use the Service. You may stop using Cyna and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, create risk or legal exposure for us or others, or if required by law — where practical, we will give you notice and an opportunity to cure.
On termination, your right to use the Service ends. For a limited period after termination, you may export your Customer Content; after that, we may delete it in the ordinary course, subject to legal retention requirements and our Privacy Policy. Provisions that by their nature should survive (such as payment obligations, confidentiality, disclaimers, limitations of liability, and indemnities) will survive termination.
15. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate or fit for your purpose. You are responsible for your business decisions and the contracts you enter with your Clients.
16. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service. Cyna's total liability for all claims relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless Cyna and its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Service, your contracts and transactions with your Clients, or your breach of these Terms or of applicable law.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or in the product. Changes take effect on the date stated, and your continued use of the Service after that date means you accept the updated Terms.
19. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Cyna is established, without regard to its conflict-of-law rules, and the courts of that jurisdiction will have exclusive authority over any dispute, unless applicable law requires otherwise. Before filing a formal claim, please contact us so we can try to resolve the matter informally.
20. General
These Terms, together with our Privacy Policy and any plan-specific or order terms, are the entire agreement between you and Cyna about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to the email on your account.
